Offering just the right amount of technical jargon and market data could shift the group into “nodding” mode.
Insight
Even seasoned, well-prepared boards can be vulnerable to information overload. A confident CEO armed with complex data can unintentionally (or intentionally) steer discussion away from deeper scrutiny. The risk isn’t ignorance, it’s deference. Directors who pride themselves on staying informed may hesitate to interrupt a polished presentation, leading to silent agreement rather than active oversight.
The best boards foster a culture where curiosity is strength, not weakness. Asking clarifying questions signals diligence, not doubt. And the best CEOs know their credibility grows when they communicate with clarity rather than complexity.

- When have I felt tempted to let a complex explanation slide without probing further?

Exercises
- Jargon test: At the next meeting, ask directors to jot down one term or concept that wasn’t immediately clear. Use these as springboards for discussion; often the “obvious” questions unlock the most insight.
- Plain language drill: Choose a complex agenda item and challenge the presenting executive to reframe it in everyday language. If the essence can’t be explained simply, it likely isn’t fully understood.
- Curiosity round: Make space for each director to ask at least one clarifying or exploratory question in a discussion. This normalizes curiosity and balances the conversation.
- Layered briefing: Ask management to present a key issue in three layers: a one-page snapshot, a short walkthrough, and a technical appendix. Compare how directors’ confidence grows as understanding deepens.
