Insight
Not every concern makes it to the board table. When directors keep doubts or disagreements to side conversations, the whole board loses the benefit of collective wisdom. Whispered critiques erode trust and create factions, even unintentionally. Healthy boards encourage directors to bring questions, concerns, and ideas into the open so they can be tested, refined, and owned together. The chair’s role is crucial: noticing when issues linger in the shadows and inviting them into the light.

- What kinds of topics do I find easier to raise privately than in the boardroom?
- How does our culture respond to dissent: Is it welcomed, tolerated, or quietly discouraged?
- When I hear side conversations, do I help draw them into the full discussion or let them stay unspoken? What are some steps I could take to invite others to share more openly?
- What trust signals could we strengthen so directors feel confident voicing difficult concerns openly?
- How can the chair create natural on-ramps for questions that might otherwise go unasked?
Exercises
- Silent to spoken: At the end of a meeting, invite directors to share one thought they considered but chose not to raise. Discuss what kept those thoughts silent and how to make space for them in the future.
- Chair’s intervention practice: In a role-play, have the chair notice a side comment during a break and invite it back into the boardroom. Debrief how this feels for both the chair and the directors.
- Courage round: Once per quarter, schedule a short session in which each director is asked to name one risk, concern, or question they believe has not received enough attention.
- Feedback loop: After a major decision, ask directors to reflect on whether any concerns remained unspoken. Use that feedback to adjust how discussions are facilitated.
